Part A ~2 min

Preliminary

§ 1

Definitions and Interpretation

#

In these Terms and Conditions ("Agreement"), the following terms shall have the meanings ascribed to them below, unless the context expressly requires otherwise.

1.2 Interpretation

Unless the context otherwise requires: (a) references to clauses are to clauses of this Agreement; (b) the singular includes the plural and vice versa; (c) headings are for convenience only and shall not affect interpretation; (d) "including" means "including without limitation"; (e) any reference to a statute includes any amendment or re-enactment thereof; (f) references to "writing" include email where the context permits.

Account Registration and Eligibility

§ 2

Scope and Application

#

This Agreement governs the use of FMT's Services exclusively by registered Trade Partners. It does not apply to individual consumers or end travellers. Any use of the Platform or Services by a consumer is strictly prohibited and FMT reserves the right to refuse or cancel any such Booking without liability.

By submitting a Trade Partner registration application or by placing any Booking with FMT, the Trade Partner unconditionally accepts and agrees to be bound by this Agreement in full.

§ 3

Trade Partner Registration and KYC

#
3.1 Eligibility Criteria

To be eligible for registration, the applicant must: be a validly incorporated or registered legal entity; hold a current and valid travel trade licence or IATA accreditation; not be subject to any insolvency proceedings; and not have been debarred, blacklisted, or subject to any sanctions by any regulatory authority.

3.2 Registration Documents (KYC)

Required KYC documents include: certificate of incorporation; valid GST registration certificate (where applicable); copy of travel trade licence or IATA/TIDS certificate; PAN card of the entity and its authorised signatories; bank account details and a cancelled cheque; and a duly signed and stamped Service Agreement. FMT reserves the right to request additional documents at any time, including for periodic KYC renewal.

3.3 Account Activation

Registration shall take effect only upon written confirmation from FMT ("Account Activation Notice"). FMT may decline any application without assigning reasons and without incurring any liability.

3.4 Age Restriction

The Trade Partner warrants that no individual under the age of 18 shall be permitted to access or operate the FMT Platform on its behalf.

§ 4

Scope of Services

#

Subject to the terms of this Agreement, FMT provides the following services to registered Trade Partners:

IMPORTANT: FMT does not process or facilitate work visas, employment visas, or immigration for overseas employment. Any application found to be for employment purposes will be rejected and the account may be suspended.
§ 5

FMT's Status as Intermediary

#

The Trade Partner expressly acknowledges and agrees that FMT acts solely as an agent, intermediary, and facilitator between the Trade Partner and Suppliers; the contractual relationship for the underlying travel product exists directly between the Trade Partner (or Client) and the relevant Supplier; FMT has no ownership or operational control over any Supplier's services, pricing, or availability; Supplier terms and conditions apply independently of this Agreement; and FMT's obligations are limited to the exercise of reasonable care in facilitating Bookings.

Booking, Confirmation, and Modifications

§ 6

Booking Process

6.1 Placing a Booking

Bookings may be placed through the Platform, by email to the designated FMT trade desk, or through any API or channel as agreed in writing. All Bookings are subject to availability and Supplier acceptance. The Trade Partner is responsible for the accuracy of all data submitted, including traveller names (as they appear on passports), travel dates, destinations, and service specifications.

6.2 Booking Confirmation

A Booking is confirmed only upon FMT issuing a written Booking Confirmation by email or through the Platform. Until received, no commitment has been made by FMT or the relevant Supplier. FMT reserves the right to decline any Booking request without liability.

6.3 Accuracy of Information

The Trade Partner warrants that all information provided is true, accurate, current, and complete. FMT shall not be liable for any loss, delay, refusal of entry, or additional cost arising from errors or discrepancies. The cost of correcting any such errors shall be borne solely by the Trade Partner.

6.4 Group Bookings

For group Bookings, the Trade Partner shall serve as the single point of contact and shall be solely responsible for collating and transmitting accurate information for all travellers.

§ 7

Modifications to Bookings

#

Requests to modify a confirmed Booking must be submitted in writing to FMT's trade desk. All modifications are subject to Supplier acceptance and may attract additional fees, fare differences, and/or change penalties. The Trade Partner shall be responsible for all costs associated with modifications.

§ 8

Fare Validity and Price Changes

8.1 Quoted Fares

All fares, rates, and prices quoted by FMT are indicative only and subject to change until a Booking Confirmation is issued.

8.2 Price Revisions Post-Confirmation

Following Booking Confirmation, the Contract Price shall remain firm except for: (a) imposition or increase of government taxes, levies, or GST; (b) increases in airport or government-mandated fees; (c) currency exchange rate fluctuations of more than 3%; or (d) changes in fuel surcharges by Suppliers.

ℹ️

If the Trade Partner declines to accept a revised price, it may cancel the Booking without penalty, provided written notice is given within 48 hours of receiving the price revision notice.

Payment, Credit, and Invoicing

§ 9

Contract Price and Invoicing

#

The Contract Price for each Booking shall be as set out in the Booking Confirmation. All amounts are stated in Indian Rupees (INR) unless a foreign currency is specified. FMT's service charges are non-negotiable and non-refundable once a Booking Confirmation has been issued. FMT shall issue a tax invoice in compliance with the GST Act upon Booking Confirmation.

§ 10

Payment Terms

10.1 Standard Payment (Non-Credit)

Unless a Credit Facility is in force, payment of the Contract Price must be made in full in advance of FMT issuing a Booking Confirmation. No Booking shall be processed until cleared funds are received.

10.2 Advance Deposits

Where advance deposits are accepted, the applicable deposit percentage shall be specified in the Booking Confirmation or Service Schedule. Deposits are non-refundable except as expressly provided in Clause 12.

10.3 Balance Payments

Balance payments are due on the date specified in the Booking Confirmation. Failure to remit balance payment by the due date entitles FMT to cancel the Booking and apply cancellation charges in accordance with Clause 12.

10.4 Credit Facility

A Credit Facility may be extended to qualifying Trade Partners at FMT's sole discretion, subject to a separate written credit agreement.

  • All Invoices under a Credit Facility are due and payable by the date specified ("Due Date");
  • Any Invoice unpaid after the Due Date shall accrue interest at: 1.5% / month (18% p.a.);
  • FMT reserves the right to suspend or revoke a Credit Facility at any time;
  • A Credit Facility shall not be construed as a waiver of FMT's right to require advance payment.
10.5 Mode of Payment

Payments may be made by NEFT/RTGS/IMPS or UPI, or such other methods as FMT may designate in writing. The Trade Partner shall bear all bank charges and transaction fees.

10.6 Currency & Rate of Exchange

Payments are to be made in INR unless the Booking Confirmation specifies otherwise. Where a Booking involves a foreign exchange component, the applicable ROE shall be the rate prevailing on the date of final payment. The ROE on the Booking Confirmation date is indicative only.

10.7 Set-Off

FMT reserves the right to set off any amount owed to it by the Trade Partner against any amount payable by FMT to the Trade Partner, without prior notice.

§ 11

Taxes

#

The Trade Partner is solely responsible for compliance with all applicable tax laws in its own jurisdiction. FMT will provide tax invoices in accordance with the GST Act. Where a Trade Partner provides a valid GST registration number, FMT shall issue a B2B tax invoice accordingly.

Cancellation, Modification, Refunds & No-Shows

§ 12

Cancellation Policy

#
12.1 Cancellation by the Trade Partner

All cancellation requests must be submitted in writing to FMT's trade desk. Verbal cancellations will not be accepted. The date of receipt of a written cancellation request shall be the effective cancellation date.

Specific cancellation schedules in the Booking Confirmation or Service Schedule shall override the above general principles.

12.2 Non-Refundable Services

The following are strictly non-refundable under all circumstances: visa service fees, government visa fees, embassy fees and immigration authority fees — regardless of visa outcome; Ok to Board (OTB) fees; wildlife safari bookings at any Indian national park or sanctuary; travel insurance premiums once a policy has been issued; FMT's service charges and processing fees once Booking Confirmation is issued; any Booking where the Supplier designates the fare as non-refundable.
12.3 Cancellation by FMT or Supplier

FMT reserves the right to cancel a Booking if: (a) the Trade Partner fails to make payment by the due date; (b) a Force Majeure Event renders performance impossible; or (c) a Supplier cancels or withdraws the underlying service. Where FMT initiates cancellation (not attributable to the Trade Partner or Force Majeure), FMT shall refund amounts actually recovered from the Supplier, less non-recoverable costs and FMT's service charges.

12.4 Refund Processing Timeline

Refunds, where approved, will be processed to the Trade Partner's designated account within 10–21 Business Days of FMT's receipt of funds from the relevant Supplier. FMT is not obliged to process refunds in advance of recovering amounts from Suppliers. All refunds will be made in INR to the Trade Partner's account of record only — not to third parties.

12.5 Unused Services

No refund or credit will be provided for partially or wholly unused services, including unused hotel nights, missed transfers, or forfeit excursions, whether due to the Client's decision or circumstances beyond FMT's control.

Visa and Documentation Services

§ 13

E-Visa and Visa Facilitation

#
13.1 Nature of Service

FMT's Visa Services are limited to the collection, preparation, and submission of visa application documentation to the relevant immigration authority, embassy, consulate, or high commission on behalf of the Trade Partner's Clients. FMT does not make or influence visa decisions.

13.2 No Guarantee of Approval
⚠️

FMT does not guarantee visa approval. The decision to grant, refuse, or defer a visa application rests exclusively with the relevant government authority. FMT shall not be liable for any financial loss, consequential damages, or inconvenience arising from a visa refusal, delay, or conditional grant — including non-refundable flights, hotel reservations, or tour costs.

13.3 Trade Partner and Client Obligations

The Trade Partner warrants, and shall ensure that its Clients warrant, that: all documents submitted are genuine, accurate, and complete; the Client's travel purpose accurately corresponds to the visa category applied for; the Client's passport is valid for at least six (6) months beyond the intended date of departure from the destination country; the Client meets all vaccination, health, and entry requirements; and no visa application is submitted for the purposes of securing employment, settlement, or residency through FMT's channels.

13.4 Visa Reapplication

Where a visa application is refused and the Trade Partner requests reapplication, the reapplication shall be treated as a new Transaction, requiring fresh government fees and FMT service charges. FMT will not initiate a reapplication without explicit written authorisation from the Trade Partner.

13.5 Overstay Liability — Gulf Countries (UAE, Bahrain, Oman)

CRITICAL — OVERSTAY LIABILITY: The Trade Partner acknowledges that it is fully responsible for ensuring all Clients depart the relevant Gulf Country within the visa validity period.

  • The Trade Partner agrees to fully indemnify FMT against all overstay penalties, fines, repatriation costs, and associated charges;
  • Processing of new visa applications may be suspended pending resolution of any outstanding overstay report;
  • The Trade Partner must provide evidence of the Client's exit (including passport exit stamp) to FMT within 48 hours of receiving an overstay report;
  • Tourist or visit visa holders must physically exit the Gulf Country for any visa category change.
13.6 Passport Handling

Where physical passport submission is required, FMT will take reasonable precautions to ensure safe handling and delivery. FMT shall not be liable for loss, damage, or delay in transit caused by a third-party logistics or courier service provider.

§ 14

Ok to Board (OTB)

#

OTB services are provided strictly as a facilitation service. The decision to approve or deny OTB lies exclusively with the airline or relevant immigration department. FMT's OTB fees are non-refundable. FMT acts solely as a liaison between the Trade Partner/Client and the relevant authority. The Trade Partner and Client remain responsible for ensuring all required documents are submitted accurately and on time.

Client Responsibilities and Documentation

§ 15

Travel Documentation and Entry Requirements

#

The Trade Partner is solely responsible for advising its Clients of, and ensuring compliance with, all entry, transit, and exit requirements, including: valid passport with sufficient remaining validity; applicable visas, transit visas, and entry permits; health certificates, vaccination records, and medical clearances; travel advisories issued by the Government of India or the destination country; and customs and currency regulations.

As entry requirements change frequently and without notice, FMT accepts no liability for the accuracy, completeness, or currency of guidance provided. The Trade Partner must independently verify all requirements with the relevant consulate or immigration authority.

§ 16

Foreign Exchange Payments

#

Where a package includes a foreign exchange component:

  • Foreign exchange payments constitute part of the Client's Basic Travel Quota (BTQ) as regulated by the Reserve Bank of India;
  • Payments must be made by the cardholder whose name appears on the payment card;
  • Within a travelling family unit, immediate family members (spouse, parent, child) may make payments on behalf of one another, provided the cardholder is also part of the travelling group;
  • A credit or debit card may not be used to pay for any person's travel who is not a direct family member of the cardholder;
  • The ROE applicable to the foreign exchange component will be the rate prevailing on the date of final payment.
Part I~2 min

Supplier Responsibility and Availability

§ 17

Supplier Services and Conditions

#

FMT facilitates access to Supplier services but does not warrant the quality, fitness for purpose, or continuous availability of any Supplier's services. FMT shall not be liable for: any act, omission, default, negligence, or breach of duty on the part of any Supplier; overbooking, schedule changes, route alterations, or service withdrawals; failure by any Supplier to perform or to perform to any particular standard; or any personal injury, death, property damage, or consequential loss arising from Supplier services.

§ 18

Website Availability

#

The Platform is provided on an "as-is" and "as-available" basis. FMT does not warrant that the Platform will be error-free, uninterrupted, or free from security vulnerabilities. FMT shall not be liable for: (a) the unavailability or downtime of the Platform; (b) loss of data; (c) unauthorised access through no fault of FMT; or (d) any reliance on information obtained through the Platform.

Liability, Indemnity, and Insurance

§ 19

Limitation of Liability

19.1 Scope

To the fullest extent permitted by applicable law: FMT's total aggregate liability shall not exceed the total Contract Price paid for the specific Booking giving rise to the claim; and FMT shall not be liable for loss of profit, business opportunity, revenue, goodwill, anticipated savings, enjoyment, or any indirect, special, or consequential loss, even if FMT was advised of the possibility of such loss.
19.2 Exclusions from Limitation

Nothing in this Agreement shall limit or exclude FMT's liability for: (a) death or personal injury caused by FMT's gross negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be limited or excluded by applicable law.

19.3 Mitigation

The Trade Partner shall take all reasonable steps to mitigate any loss or damage it suffers arising under or in connection with this Agreement.

§ 20

Force Majeure

#
20.1 Definition

A "Force Majeure Event" means any event beyond the reasonable control of a Party, including: war, hostilities, armed conflict, or acts of terrorism; natural disasters, floods, cyclones, and pandemics; acts of government, regulatory actions, or changes in law rendering performance illegal or impractical; civil unrest, strikes, or industrial action; and airline or airport closures, air traffic control failures, or port closures.

20.2 Consequences

A Party affected by a Force Majeure Event shall: (a) notify the other Party in writing within 48 hours; (b) use reasonable efforts to mitigate the impact; and (c) resume performance as soon as the event ceases.

💡

A Force Majeure Event does not excuse the Trade Partner from its payment obligations in respect of services already rendered.

§ 21

Indemnity

#

The Trade Partner agrees to defend, indemnify, and hold harmless FMT, its officers, directors, employees, agents, and affiliates from and against any claims, losses, liabilities, costs, damages, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Any breach by the Trade Partner of this Agreement;
  • Any wilful misconduct or negligent act or omission of the Trade Partner or its Clients;
  • Any fraudulent, forged, or materially inaccurate documents or information submitted by the Trade Partner;
  • Any overstay, immigration violation, or breach of visa terms by a Client whose visa was facilitated through the Trade Partner's account;
  • Any claim by a Client arising from the Trade Partner's failure to advise the Client of applicable terms, conditions, or documentation requirements;
  • Any Chargeback initiated against FMT as a result of a Transaction placed by the Trade Partner.
§ 22

Insurance

#

FMT strongly recommends that the Trade Partner holds, and advises its Clients to hold, appropriate travel insurance. FMT bears no liability for any insurance claim or coverage dispute.

The Trade Partner should maintain, at minimum, professional indemnity insurance and public liability insurance appropriate to the scale of its operations.

Part K~4 min

Intellectual Property, Confidentiality & Data

§ 23

Intellectual Property

#

All Intellectual Property Rights in the Platform, FMT's content, branding, trade marks, service marks, logos, and technology are and shall remain the exclusive property of Bhramanvisa (India) Private Limited or its licensors. The Trade Partner shall not: (a) copy, reverse-engineer, or decompile the Platform; (b) use FMT's branding or trade marks without prior written consent; (c) scrape, harvest, or systematically download data from the Platform; or (d) grant sub-licences to access the Platform.

§ 24

Confidentiality

#
24.1 Obligations

Each Party agrees to keep the other Party's Confidential Information strictly confidential and not to disclose it to any third party without prior written consent. Each Party shall use the other's Confidential Information solely for the purposes contemplated by this Agreement.

24.2 Permitted Disclosures

"Confidential Information" does not include information that: (a) is or becomes publicly available through no breach of this Agreement; (b) was already known to the receiving Party; (c) is independently developed without reference to the Confidential Information; or (d) is required to be disclosed by law, provided the disclosing Party gives prior written notice where practicable.

24.3 Duration

Confidentiality obligations survive the termination or expiry of this Agreement for a period of three (3) years.

§ 25

Data Protection and Privacy

#

FMT processes personal data in accordance with the Digital Personal Data Protection Act, 2023 (DPDPA), and its Privacy Policy as published on the Platform. The Trade Partner warrants that it has obtained all necessary consents from its Clients to share their personal data with FMT for the purposes of Booking facilitation and visa processing. FMT shall use Client personal data only for the purposes of performing the Services and shall not sell personal data to any third party.

Fraud Prevention, Chargebacks & Account Management

§ 26

Fraud and Misuse

#

The Trade Partner shall not: submit any fraudulent, forged, or misleading documents, declarations, or applications through the Platform; make Bookings for speculative or fictitious travellers; use the Platform for any purpose that violates applicable law; engage in any act intended to circumvent FMT's pricing, credit, or access controls; or allow any third party to use the Trade Partner's account credentials.

Any suspected fraud or material misuse shall result in immediate account suspension and, where appropriate, referral to law enforcement authorities. FMT shall be entitled to recover all losses, penalties, and costs from the Trade Partner.

§ 27

Chargeback Protection

#

By confirming a Booking, the Trade Partner warrants that it has authority to make the payment. If FMT receives a Chargeback in respect of any Transaction placed by the Trade Partner, the Trade Partner shall immediately reimburse FMT for the full amount of the Chargeback, together with any bank charges, Chargeback fees, and associated costs. Repeated Chargebacks may result in account suspension, withdrawal of credit facilities, and/or requiring pre-payment for all future Bookings.

§ 28

Promotions and Special Offers

#

FMT may from time to time offer promotional rates, schemes, or incentives to Trade Partners. All such promotions are subject to additional terms and conditions, which shall be communicated in writing. Promotions may be withdrawn or modified at FMT's discretion without prior notice. Eligibility for promotions is contingent on the Trade Partner's account being in good standing with no overdue payments.

§ 29

Account Suspension and Termination

29.1 Suspension by FMT (Immediate Effect)

FMT reserves the right to suspend the Trade Partner's account with immediate effect, without prior notice, in any of the following circumstances: failure to make payment by the due date; breach of any material term of this Agreement; suspected fraud, misuse, or submission of forged documents; any unresolved overstay or immigration violation under Clause 13.5; or the Trade Partner's insolvency, winding-up, or appointment of a liquidator or administrator.

29.2 Termination for Cause

Either Party may terminate this Agreement with immediate effect by written notice if the other Party commits a material breach that is incapable of remedy, or fails to remedy it within 14 Business Days of written notice specifying the breach.

29.3 Termination for Convenience

Either Party may terminate this Agreement without cause upon 30 days' written notice. All confirmed Bookings not yet completed at the time of termination shall continue to be governed by this Agreement until fulfilment or cancellation.

29.4 Consequences of Termination

Upon termination: (a) all outstanding amounts owed by the Trade Partner become immediately due and payable; (b) both Parties shall promptly return or destroy the other's Confidential Information; (c) the Trade Partner's access to the Platform shall be deactivated. Termination shall not affect any accrued rights or obligations.

Dispute Resolution and Governing Law

§ 30

Governing Law

#

This Agreement shall be governed by and construed in accordance with the laws of the Republic of India, without regard to conflict of law principles.

§ 31

Dispute Resolution

#
31.1 Negotiation

The Parties shall endeavour in good faith to resolve any Dispute through senior management-level negotiation within 30 days of written notice of the Dispute.

31.2 Arbitration

If the Dispute is not resolved during the Negotiation Period, it shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The arbitral tribunal shall consist of a sole arbitrator appointed by mutual agreement. Seat and venue of arbitration: Mumbai, Maharashtra. Language of arbitration: English. The arbitrator's award shall be final and binding on both Parties. The arbitrator shall have no authority to award punitive, exemplary, or speculative damages.

31.3 Interim Relief

Nothing in this Clause shall prevent either Party from seeking urgent interim or injunctive relief from a court of competent jurisdiction.

31.4 Courts & Limitation Period

For matters not subject to arbitration, the Parties submit to the exclusive jurisdiction of the courts of Mumbai, Maharashtra. Any claim must be brought within 12 months of the event giving rise to the claim, failing which it shall be time-barred.

Part N~5 min

General Provisions

§ 32

Entire Agreement

#

This Agreement, together with any applicable Service Schedules, Booking Confirmations, and written credit agreements, constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior representations, negotiations, understandings, and agreements, whether oral or written. No variation of this Agreement shall be binding unless made in writing and signed by authorised representatives of both Parties.

§ 33

Amendments

#

FMT reserves the right to amend this Agreement at any time. Amended Terms will be published on the Platform with a revised effective date. Continued use of FMT's services after the effective date of an amendment constitutes acceptance of the revised terms. Where an amendment materially changes the Trade Partner's rights or obligations, FMT will provide not less than 14 days' prior written notice.

§ 34

Assignment

#

The Trade Partner may not assign, transfer, novate, or sub-licence any of its rights or obligations under this Agreement without FMT's prior written consent. FMT may assign this Agreement to any of its affiliates or to a successor entity in connection with a merger, acquisition, or corporate restructuring, upon written notice to the Trade Partner.

§ 35

Waiver

#

No failure or delay by a Party in exercising any right or remedy under this Agreement shall constitute a waiver of that right or remedy. A waiver of any single breach shall not be construed as a waiver of any subsequent breach.

§ 36

Severability

#

If any provision of this Agreement is found by a competent court or arbitrator to be illegal, invalid, or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect. The Parties shall endeavour to replace any severed provision with a valid provision that, as far as possible, achieves the original commercial intent.

§ 37

Notices

#

All notices and communications under this Agreement shall be in writing and shall be deemed duly served if: (a) delivered by hand or courier to the registered address of the recipient; (b) sent by email to the address designated by the Party for notices, with delivery confirmation or read receipt; or (c) sent by registered post.

Relationship of Parties

The Parties are independent contractors. Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship between them. The Trade Partner has no authority to bind FMT to any contract or commitment with a third party.

§ 39

Anti-Bribery and Corruption

#

Each Party warrants that it shall comply with all applicable anti-bribery and anti-corruption laws, including the Prevention of Corruption Act, 1988. Neither Party shall offer, pay, seek, or accept any improper payment, gift, or advantage in connection with this Agreement.
